Terms of Service
Explore our Terms of Service to understand your relationship with Paddl.
These Member Terms of Use (Member Terms) govern your access to and use of paddl.com as a Member. They are an agreement between you and Paddl Co. Pty Ltd (ABN 14 131 952 004) of Level 2, 65 Dover Street, Cremorne, VIC 3121 (Paddl, we, us or our).
You are a Member because an organisation you work for, or are otherwise engaged by (Employer), has a Business Account with Paddl under a Master Subscription Agreement, and has assigned you a Seat to access paddl.com. These Member Terms apply in addition to, and don't replace, whatever arrangements exist between you and your Employer, such as your employment or engagement — we are not a party to those arrangements, and your Employer remains responsible for decisions about your employment or engagement.
By creating a Member Account, or by accessing or using paddl.com as a Member, you agree to be bound by these Member Terms and our Privacy Policy.
1. Definitions
Access Credentials means the username, password, access tokens, API keys and any multi-factor authentication factors used to access your Member Account.
Account means a Business Account and/or a Member Account.
Activity means a piece of content uploaded to, or linked to, paddl.com, such as a video, document, form, or quiz. A collection of Activities creates a Program.
Admin User means an individual authorised by your Employer to administer its Business Account, including assigning you a Seat and managing the Programs assigned to you.
Business Account means the account on paddl.com that enables your Employer’s Admin Users to access the Services, including assigning Seats, creating and managing Programs, and accessing analytics.
Completions means a record of your completed training, including Activities and Programs.
Connection means a third-party service that is integrated with paddl.com, such as a training content provider or workforce management system.
Employer means the organisation that has a Business Account with Paddl and has assigned you a Seat.
Employer’s Agreement means the Master Subscription Agreement between Paddl and your Employer.
Member or Member User means an employee, worker or contractor of a client of Paddl’s (your Employer) who accesses paddl.com with a Seat.
Member Account means the account on paddl.com that enables you, as a Member, to access the Services.
paddl.com means the website and application located at paddl.com, and the Services provided through it.
Profile means your individual profile on paddl.com, where you access your Activities, Programs and Completions.
Program means a collection of Activities, maintained by your Employer and assigned to you.
Seat means the licence your Employer grants you to access the Services through its Business Account.
Services means access to paddl.com, including your Member Account and Seat.
2. Your Member Account
2.1 Creating your account
You'll usually be invited to create a Member Account by an Admin User of your Employer. You must provide accurate information when you do, and keep your Access Credentials secure and confidential. Let us know promptly if you believe your Access Credentials have been compromised. If you are under 18, your Employer must accept these Member Terms on your behalf before you create a Member Account.
2.2 Who controls your access
An Admin User controls Programs and Activities assigned to you, and can access analytics about your use of the Services, including your Completions. Paddl is not responsible for what your Employer does with that information, or for any decision your Employer makes about your Seat, Programs, or your employment or engagement generally.
2.3 Suspension
We may suspend your Access Credentials where we reasonably believe you are unauthorised to use them, they have been compromised, or you have breached these Member Terms. Where practical, we'll give you notice and a reasonable opportunity to remedy the issue first, unless immediate action is required to protect the security of the Services.
3. Acceptable use
You must use paddl.com lawfully and in accordance with these Member Terms. You must not:
remove or interfere with any proprietary notices;
introduce harmful or malicious code into the Services;
bypass security measures, or infringe any person's privacy or legal rights; or
use the Services for unlawful, offensive, defamatory or inappropriate purposes, or access paddl.com other than through the interfaces we provide.
4. Intellectual property
4.1 Our platform
paddl.com, including its software, design, look and feel, and the Paddl name, logo and other trade marks, is owned by Paddl or our licensors. We grant you a limited, non-exclusive, non-transferable licence to access and use paddl.com for its intended purpose as a Member, for as long as you hold a Member Account. Except as this licence allows, you must not copy, modify, reverse engineer, or create derivative works from paddl.com, or use it to build a competing product.
4.2 Activities and Programs
Activities and Programs assigned to you by your Employer remain the property of your Employer or the relevant third-party content provider. You may access and complete them for your own training and development, but you don't get any other rights to reproduce, distribute, modify or otherwise use them outside paddl.com, except as your Employer or that provider separately allows.
4.3 Content you submit
If you upload or submit any content of your own through paddl.com — for example, a written response, video, or file, as part of completing an Activity — you keep ownership of it, but you grant Paddl, and your Employer, a non-exclusive, royalty-free licence to host, store, copy, reproduce and display that content for the purposes of providing and improving the Services, including making it available to your Employer’s Admin Users.
4.4 Feedback
If you give us feedback or suggestions about the Services, we may use them without restriction or obligation to you.
5. Confidentiality
Through your use of paddl.com you may see training content, materials or information that your Employer treats as confidential, or information about other Members — for example, their training records or performance. You must not disclose or use that information other than as needed to complete your own training, or as your Employer separately permits. This clause doesn't limit whatever confidentiality obligations you already owe your Employer directly, for example under your employment or engagement terms.
6. Your Profile and Completions
Your Profile is where you access your Activities, Programs and Completions on paddl.com. Your Completions may be shared with your Employer’s Connections in accordance with your Employer’s agreement with Paddl.
7. What happens when your access ends
If your Employer’s Agreement with Paddl ends, or your Employer removes your Seat, you'll lose access to that Employer’s Programs, but you may keep your Member Account and Profile, including your record of Completions. From that point, we handle your Profile as an independent controller, under our Privacy Policy and these Member Terms, rather than on your former Employer’s instructions. You can ask us to export your Completions record, or to delete your Member Account and Profile in full, at any time, by writing to privacy@paddl.com — see “Contact us” below.
8. Communications
We may contact you about the Services generally, including product updates and relevant promotional offers. You can opt out of promotional communications at any time through your Account, or by contacting us at help@paddl.com. You'll always receive transactional messages that are needed for us to provide the Services, such as security notices.
9. Privacy
Our Privacy Policy explains how we and your Employer handle your personal information, including our use of aggregated or de-identified information to train and improve the models and features underlying paddl.com. Please read it at paddl.com/privacy-policy - it forms part of these Member Terms.
10. Availability
We aim to keep paddl.com available and reliable, but we don't guarantee uninterrupted access, and we may carry out scheduled or emergency maintenance from time to time. Nothing in these Member Terms limits any right you have under the Australian Consumer Law that cannot lawfully be excluded.
11. Third-party content and Connections
paddl.com may connect to third-party Providers that your Employer uses or configures — for example, single sign-on, HR or training-content platforms. We don't own, control or warrant content or services provided by a Provider, and we're not liable for its accuracy, availability or quality. Any access we have to information from a Provider is limited to what's reasonably necessary to enable that connection and related functionality, as configured by your Employer.
12. Liability
To the maximum extent permitted by law, and except in the case of our gross negligence, wilful misconduct or fraud: paddl.com is provided on an “as is” and “as available” basis, without any warranty beyond those that cannot lawfully be excluded (including your rights under the Australian Consumer Law); and our total liability to you arising out of or in connection with your use of paddl.com is limited to re-providing the affected part of the Services, and in any event excludes indirect or consequential loss.
13. Suspension and termination
We may suspend or terminate your Member Account if you breach these Member Terms, if we reasonably believe your Access Credentials are compromised, or if your Seat or your Employer’s Agreement ends. You may close your Member Account at any time by contacting us — see clause 7 above for what happens to your Profile and Completions when your access ends.
14. Changes to these Member Terms
We may update these Member Terms from time to time, provided the update doesn't materially reduce your rights, unless required by law. We'll let you know of material changes, for example by notice on paddl.com or by email, and the updated terms will take effect from the date we specify, being not less than 30 days after we notify you, except where required sooner by law.
15. General
15.1 Governing law
These Member Terms are governed by the law of Victoria, Australia, and you submit to the non-exclusive jurisdiction of the Victorian courts.
15.2 Entire agreement
These Member Terms and our Privacy Policy are the entire agreement between you and Paddl about your use of paddl.com as a Member, and replace anything discussed beforehand.
15.3 Severability and waiver
If any provision of these Member Terms is unenforceable, the remainder continues in full force. A failure to exercise a right doesn't constitute a waiver of it.
15.4 Assignment
We may assign or novate these Member Terms in connection with a merger, acquisition, or sale of substantially all our assets, on notice to you. You may not assign or novate these Member Terms.
